Welcome to Lili Aguilar Design LLC ("we," "us," or "our"). These Terms of Service ("Terms") apply to the use of liliaguilar.com ("Site") and graphic design, creative, production, and related services provided by Lili Aguilar Design LLC ("Services").
 

By engaging Lili Aguilar Design LLC for Services, approving an estimate or proposal, submitting payment, or otherwise authorizing work to begin, you ("Client") agree to these Terms along with any applicable estimate, proposal, statement of work, or written agreement.
 

1. Services

Lili Aguilar Design LLC provides graphic design, branding, illustration, production design, digital graphics, print materials, merchandise graphics, marketing materials, and other related creative services.
 

The specific scope, deliverables, pricing, timeline, and other project requirements may be established through an estimate, proposal, invoice, statement of work, email, or other written agreement between Lili Aguilar Design LLC and the Client.
 

2. Scope of Work and Additional Services

Services are limited to the scope and deliverables agreed upon for a project.

Requests that materially expand or change the original scope may be considered additional work. This may include, but is not limited to:
 

  • Additional designs, concepts, or creative directions

  • Additional sizes, formats, versions, or adaptations

  • Additional rounds of revisions

  • Significant changes to previously approved work

  • New deliverables requested after work has begun

  • Reworking completed work because of changes to Client-provided information, assets, requirements, or direction

  • Rush work or substantial changes to an established project schedule
     

Additional work may require additional fees, an updated estimate, or an adjustment to the project timeline.
 

Lili Aguilar Design LLC will make reasonable efforts to communicate significant changes in scope or cost when they become apparent.
 

3. Client Responsibilities

The Client is responsible for providing the information, assets, feedback, approvals, and access reasonably necessary to complete the Services.
 

The Client is responsible for reviewing materials provided for approval and communicating requested changes in a timely manner.
 

Delays in receiving feedback, approvals, assets, content, or other necessary information may affect project timelines and availability. Lili Aguilar Design LLC is not responsible for missed deadlines or delays resulting from circumstances outside our reasonable control, including Client delays.
 

4. Revisions and Approvals

Projects may include revisions as described in the applicable estimate, proposal, or project agreement.
 

Revisions or changes beyond the agreed scope may be billed as additional Services.

Once a Client approves a design, concept, proof, or final file, any subsequent changes may be considered additional work.
 

The Client is responsible for reviewing and approving all final materials, including but not limited to spelling, grammar, names, dates, pricing, dimensions, specifications, legal copy, trademarks, QR codes, URLs, and other content.
 

Approval constitutes confirmation that the Client has reviewed the work and accepts it for its intended use.
 

5. Payments and Fees

Pricing and payment terms will be established through the applicable estimate, proposal, invoice, statement of work, or other written agreement.
 

Invoices are due according to the payment terms stated on the applicable invoice.

Lili Aguilar Design LLC reserves the right to pause or suspend Services when invoices become overdue. Project schedules and delivery dates may be adjusted accordingly.
 

Final deliverables may be withheld until outstanding amounts associated with the applicable project have been paid in full.

Additional work requested beyond the original scope may be invoiced separately.
 

6. Cancellations and Project Termination

Either party may terminate a project by providing written notice.

If a Client cancels or terminates a project after work has begun, the Client remains responsible for payment for Services performed and expenses incurred through the date of termination.
 

Deposits, booking fees, retainers, or other advance payments may be non-refundable when identified as such in the applicable estimate, invoice, or agreement.
 

Lili Aguilar Design LLC may suspend or terminate Services due to nonpayment, repeated failure to provide required materials or approvals, violation of these Terms, unlawful activity, abusive conduct, or other circumstances that make continued performance unreasonable.
 

7. Intellectual Property and Ownership

Unless otherwise agreed in writing, ownership of final commissioned design deliverables created specifically for the Client transfers to the Client upon full payment of all amounts due for those deliverables.
 

Until payment has been made in full, Lili Aguilar Design LLC retains ownership of the commissioned work.
 

Unless specifically included in the agreed deliverables, preliminary concepts, sketches, drafts, explorations, working files, unused designs, rejected concepts, and alternative creative directions remain the property of Lili Aguilar Design LLC.
 

Transfer of final deliverables does not automatically include ownership or transfer of third-party materials, fonts, stock assets, licensed materials, software, templates, or other materials subject to separate licensing terms.
 

8. Client-Provided Materials

The Client represents that they have the necessary rights, licenses, permissions, and authorizations to use any materials they provide to Lili Aguilar Design LLC.
 

This may include photographs, illustrations, logos, trademarks, fonts, copy, artwork, brand assets, stock materials, or other intellectual property.
 

Lili Aguilar Design LLC is not responsible for claims arising from materials supplied, requested, or directed by the Client when the Client does not have appropriate rights or authorization to use those materials.
 

9. Portfolio and Promotional Use

Unless otherwise agreed in writing or subject to confidentiality restrictions, Lili Aguilar Design LLC retains the right to display completed work for professional and promotional purposes after the work has been made public by the Client.
 

This may include display on our website, portfolio, social media, presentations, award submissions, case studies, or other promotional materials.
 

Confidential, unreleased, embargoed, or otherwise restricted Client work will not knowingly be publicly disclosed before it has been authorized or publicly released.
 

10. Confidentiality

Information identified as confidential or reasonably understood to be confidential will be treated accordingly.
 

Lili Aguilar Design LLC will not knowingly disclose confidential Client information to third parties except when necessary to provide the Services, when authorized by the Client, or when required by law.
 

Information that is publicly available, independently developed, or publicly released by the Client is not considered confidential under these Terms.
 

Any separate confidentiality or nondisclosure agreement signed by the parties will control in the event of a conflict with this section.
 

11. Third-Party Services and Production

Projects may involve third-party printers, manufacturers, fabricators, developers, platforms, vendors, stock providers, or other outside services.
 

Unless otherwise agreed in writing, Lili Aguilar Design LLC is not responsible for errors, delays, defects, color variations, production issues, service interruptions, shipping issues, or other problems caused by third parties.
 

The Client is responsible for reviewing proofs, samples, specifications, and production requirements when applicable.
 

12. Source and Working Files

Unless specifically identified as part of the project deliverables, editable source files, working files, production files, layered files, preliminary files, and internal project materials are not automatically included with final deliverables.
 

If source or working files are requested, availability, licensing considerations, and any additional fees may be determined separately.
 

13. Website and User Conduct

You may not use the Site or Services for unlawful purposes or attempt to disrupt, damage, interfere with, or gain unauthorized access to the Site, its systems, or associated networks.
 

Content displayed on the Site, including text, graphics, images, portfolio materials, branding, and other original content owned by Lili Aguilar Design LLC, may not be copied, reproduced, distributed, or commercially exploited without permission.
 

Client-owned work displayed within the portfolio remains subject to the applicable Client's ownership rights.
 

14. Limitation of Liability

To the fullest extent permitted by law, Lili Aguilar Design LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the use of the Site or Services.
 

To the fullest extent permitted by law, the total liability of Lili Aguilar Design LLC arising from a particular project or Service will not exceed the amount actually paid to Lili Aguilar Design LLC for the specific Services giving rise to the claim.
 

Nothing in these Terms limits liability that cannot legally be limited or excluded.
 

15. No Guarantee of Business Results

Creative and design Services are provided based on the agreed project requirements and professional judgment.
 

Lili Aguilar Design LLC does not guarantee specific commercial results, including sales, revenue, engagement, attendance, conversions, customer response, media coverage, or other business outcomes resulting from the use of completed work.
 

16. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
 

Any dispute arising from these Terms or the Services will be subject to the jurisdiction of the appropriate state or federal courts located in Colorado, unless otherwise required by applicable law or agreed to in writing by the parties.
 

17. Changes to These Terms

Lili Aguilar Design LLC may update these Terms from time to time. Updated Terms will become effective when posted to the Site unless otherwise stated.
 

Changes to these Terms will not retroactively alter the terms of a separately executed written agreement unless agreed to by both parties.

For certain projects, particularly those with longer timelines or extensive scope, we may request a 50% deposit upfront before commencing work. This deposit helps secure your spot in our schedule and covers initial project expenses.

The remaining balance will be invoiced according to the agreed-upon payment schedule, typically tied to project milestones. We appreciate timely payments to ensure the smooth progression of the project.

6. What information do you need from me to start a project?

To start a project, we'll need information about your business, your target audience, and specific details about the project goals. The more information you provide, the better we can tailor our designs to meet your needs.

7. Is my information and project details kept confidential?
